AugWork Terms of Service.

These Terms of Service ("Terms") are between you and AugWork, Inc., a North Carolina corporation ("AugWork", "we", "our"). By creating an account, signing in, or using AugWork in any way, you agree to these Terms. If you do not agree, do not use AugWork.

If you are agreeing on behalf of a company, you confirm that you have the authority to bind that company.

AugWork is an AI Operating System for small and mid-sized businesses. The platform includes:

• AI Employees that perform real work (customer service, AP/AR, order entry, scheduling, dispatch, and more), with memory of your business and performance reviews like a real hire.
• My Augie, a personal AI assistant for each person in your organization.
• Projects, Prompt, and the Company Command Center for collaborative work and operations.
• DuplicateME, a desktop screen recorder that turns recorded work into AI-runnable Use Cases and human-readable SOPs.
• Web, native iOS and Android mobile apps, and Tauri desktop apps for Mac, Windows, and Linux.

We may add, change, or retire features over time. Material removals will be announced in advance.

To use AugWork you must:

• Be at least 18 years old.
• Be using AugWork on behalf of a legitimate business or organization.
• Provide accurate information at signup and keep it current.
• Keep your login credentials confidential and notify us at security@augwork.ai if you suspect unauthorized access.

You are responsible for everything your team does inside your AugWork environment.

Pricing model. AugWork is sold on a per-user and per-AI-Employee monthly subscription. Current pricing is published at augwork.ai/pricing.

Term. Initial term is 36 months with a 12-month firm commitment.

Auto-renewal. Subscriptions renew automatically at the end of each billing cycle. We will email a renewal notice before charging you.

Cancellation. You can cancel anytime from the admin console. If you are within the 12-month commitment, you will continue to be billed until that commitment ends. After the 12-month commitment, you may cancel with 90 days notice. Cancellation stops future renewals immediately. The cancellation takes effect per your contract window, and you keep access through that cycle.

No refunds. We do not issue refunds for partial billing cycles. Your subscription continues until the end of the cycle you have already paid for, then renewal stops.

Late or failed payments. If a payment fails, we will retry and contact you. Continued failure may cause us to suspend AI Employee execution until the balance is current. Your data is not deleted during suspension.

Taxes. Prices do not include taxes. You are responsible for any taxes that apply to your purchase, except for taxes on our income.

You agree not to:

• Use AugWork for anything illegal in your jurisdiction or the jurisdictions where your customers operate.
• Use AI Employees for spam, harassment, fraud, deceptive impersonation of real people, or targeted abuse.
• Attempt to access, probe, or interfere with another customer's environment.
• Reverse-engineer, decompile, or attempt to extract the underlying weights of AugWork's models or any third-party model accessed through AugWork.
• Use AugWork to build a competing AI Operating System product.
• Upload malware, generate exploits, or use AugWork to attack other systems.
• Use AugWork in a way that violates the terms of a connected SaaS tool (for example, scraping Google or Microsoft data in ways their terms prohibit).
• Upload Protected Health Information (PHI) without a signed Business Associate Agreement with AugWork. See Section 7.

We may suspend or terminate accounts that violate this section. For serious violations (illegal activity, attacks on other customers, fraud) we may suspend immediately and without notice.

You own your data and you are responsible for it.

Data accuracy. You decide what data to put into AugWork and you are responsible for its accuracy.

Integrations. When you connect a SaaS tool to AugWork via OAuth, you are responsible for keeping that connection healthy and for the permissions you grant.

AI Employee supervision. AI Employees act on the instructions you give them. You are responsible for reviewing their work, especially for anything high-stakes (financial transactions, legal communications, customer-facing decisions, regulated processes).

Compliance. You are responsible for using AugWork in a way that complies with the laws and regulations that apply to your business (industry rules, privacy laws, employment laws, advertising rules).

AugWork serves customers in many industries, including healthcare and financial services. If your business is regulated, you have additional responsibilities.

Healthcare. AugWork is not currently configured as a HIPAA Business Associate. You must not upload Protected Health Information (PHI) into AugWork unless and until you have a signed Business Associate Agreement with AugWork. If you upload PHI without a signed BAA, you are violating these Terms.

Financial services. AugWork is not a financial institution and is not a registered investment advisor. If your business is subject to the Gramm-Leach-Bliley Act, FINRA rules, or similar regulations, you remain responsible for your own compliance. AugWork acts as your service provider; you decide what data you put in and what actions AI Employees take on your behalf.

AugWork's IP. We own AugWork: the platform, the AI Employee technology, the product design, the brand, and all related intellectual property. These Terms do not grant you any rights in AugWork beyond the right to use the service.

Your IP. You own your content. Your conversations, files, AI Employee memory, project data, recordings, and any work product created in AugWork belong to you.

License to us. You grant us a limited, non-exclusive, worldwide license to host, process, transmit, display, and modify your content solely to provide AugWork to you. This license ends when you delete the content or terminate your subscription, subject to the retention windows in our Privacy Policy.

Feedback. If you send us suggestions or ideas about AugWork, we can use them without obligation to you.

AI Employees and My Augie produce work in the form of text, voice, code, and actions in connected tools.

• AI outputs can be wrong, incomplete, or out of date. We do not guarantee that any AI output is accurate, suitable for your purpose, or free of errors.
• AI outputs are not legal, medical, financial, tax, or other professional advice. Get a qualified professional for those decisions.
• For any high-stakes work (money movement, contracts, regulated communications, decisions affecting employees or customers), you must review the AI's output before relying on it.
• You are responsible for the consequences of work performed by AI Employees on your behalf.

We work hard to keep AugWork available, fast, and reliable. We do not promise zero downtime, and we do not offer a formal service level agreement at this time.

We are not liable for outages caused by force majeure events, including natural disasters, war, internet backbone failures, third-party service outages outside our control, or government actions.

To the maximum extent permitted by law, AugWork is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that AugWork will be uninterrupted, error-free, or that any AI output will meet your requirements.

Some jurisdictions do not allow the disclaimer of implied warranties, so parts of this section may not apply to you.

To the maximum extent permitted by law:

• Our total aggregate liability to you for any claim arising out of or relating to these Terms or AugWork is capped at the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) one thousand US dollars ($1,000).
• We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if we were warned that they were possible.
• These limitations apply even if a remedy fails of its essential purpose.

Some jurisdictions do not allow the limitation of liability for certain damages, so parts of this section may not apply to you.

By you. You can cancel anytime through the admin console.

By us. We can suspend or terminate your account if you materially breach these Terms (especially the Acceptable Use section) or if your payment is significantly overdue. For non-urgent issues we will give you notice and a reasonable chance to fix the problem first.

What happens at termination. Your data remains available for export for 30 days after termination. After 30 days, we delete your environment and your data according to the retention schedule in the Privacy Policy.

Sections that should reasonably survive termination (IP ownership, disclaimers, liability limits, indemnification, dispute resolution) survive.

You will indemnify us for third-party claims arising from your breach of these Terms, your violation of law, or your misuse of AugWork (including content you upload and instructions you give AI Employees).

We will indemnify you for third-party claims that AugWork itself, as provided by us and used in compliance with these Terms, infringes a third party's intellectual property rights.

The indemnifying party gets to control the defense and settlement. The indemnified party must give prompt written notice and reasonable cooperation. Neither party will settle a claim that admits liability or imposes obligations on the other party without that party's written consent.

Informal first. Before filing a formal claim, contact us at legal@augwork.ai and we will try to resolve it in good faith within 30 days.

Arbitration. If we cannot resolve it informally, any dispute arising out of or relating to these Terms will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its then-current Commercial Arbitration Rules, seated in Wilmington, North Carolina, in the English language. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

Class action waiver. To the extent permitted by law in your jurisdiction, you waive the right to participate in a class action against us.

Carve-outs. Either party may seek injunctive relief in court for intellectual property infringement, breach of confidentiality, or misuse of the service.

If arbitration or class action waivers are unenforceable in your jurisdiction, the unenforceable parts are severed and the rest of this section still applies.

We will update these Terms as the product and the law change. For material changes (ones that meaningfully affect your rights or obligations) we will notify you at least 30 days before they take effect. Continuing to use AugWork after the effective date means you accept the new Terms. If you do not accept, you can cancel before the effective date.

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and AugWork about your use of the service.

No waiver. If we do not enforce a right immediately, we have not waived it.

Severability. If a court finds part of these Terms unenforceable, the rest stays in effect.

Assignment. You cannot assign these Terms without our written consent. We can assign them as part of a corporate transaction.

No agency. Nothing here creates a partnership, agency, or employment relationship.
